Terms of service
The rules for using SeekGist as a store owner.
Needs lawyer review
This is a template. A qualified lawyer must review it before anyone uses or signs it. Words in [brackets] must be filled in.
Last updated: [date]. These terms are between [SeekGist legal entity name], [address] ("SeekGist", "we") and the business that creates a SeekGist account ("you").
1. The service
SeekGist is a search service for online stores. It includes search and suggestions, recommendations, merchandising, catalog translation, analytics, connectors for store platforms, SDKs and a dashboard (together, the "Service").
2. Your account
- You must give true information and keep it up to date.
- You are responsible for everything done with your account and your API keys. Keep secret keys on your servers only. If a key leaks, rotate it in the dashboard at once.
- You may invite team members. You are responsible for their use of the Service.
- You must be at least [18] years old and able to make a contract for your business.
3. Acceptable use
You must not:
- use the Service for anything illegal, or to sell illegal goods;
- try to reach other customers' data, break our security, or test it without our written permission;
- send us personal data the Service does not need (for example shoppers' names, emails or payment details in product data);
- send so many requests that you harm the Service for others, or get around rate limits;
- copy, resell or rebuild the Service, except as these terms allow.
4. Plans, trial and payment
- Plans, prices and limits are shown on our website and in the dashboard at the time you buy.
- A free trial may be offered. When it ends, you choose a paid plan or the Service is limited.
- Only searches are billed. Suggestions while typing are never billed. Usage over your plan's limit is billed as shown in your plan.
- Payments are handled by [payment provider, for example Paddle as merchant of record], under its own terms. Taxes are added where the law requires.
- Fees are paid in advance for each billing period and are not refunded, except where the law requires or we say otherwise in writing. [Refund policy to be confirmed.]
- We may change prices with at least [30] days' notice. A change applies from your next billing period.
5. Your data
- You own your data: your catalog, settings, synonyms, rules and analytics ("Customer Data").
- You give us the right to use Customer Data only to run, secure and improve the Service for you, as described in our Privacy Policy and the Data Processing Agreement.
- We do not sell Customer Data. We do not use one customer's catalog to serve another customer.
- You can export your data and ask us to delete it at any time from the dashboard or the API.
6. Search results
Search results, suggestions and recommendations are made by rules from your catalog data, synonyms and settings. They can be wrong or incomplete. Prices and stock come from your catalog. You are responsible for checking your catalog data, synonyms, rules and settings before you use them in your store. Catalog translation is automatic and can be wrong: review translations before you publish them in your store.
7. Availability
We design the Service for 99.9% monthly uptime, and connectors fall back to your store's own search when SeekGist is slow or down. This is a goal, not a promise, unless a separate service level agreement says otherwise. We may do planned maintenance and will announce it on the status page when we can.
8. Suspension and ending the contract
- You can cancel at any time in the dashboard. The cancellation takes effect at the end of the paid period.
- We may suspend or end your account if you break these terms, do not pay, or put the Service or others at risk. Where we can, we will warn you first.
- After the contract ends, you can export your data for [30] days. Then we delete it, except what the law requires us to keep.
9. Intellectual property
We own the Service, its software and its documentation. You get a limited, non-exclusive right to use it during your subscription. If you send us feedback, we may use it without any duty to you.
10. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for this contract.
11. Warranties and liability
- The Service is provided "as is", as far as the law allows. [Warranty wording to be confirmed.]
- Neither party is liable for indirect or consequential loss, or for lost profits, as far as the law allows.
- Our total liability in any [12] months is limited to the fees you paid us in those [12] months. [Cap to be confirmed.]
- Nothing in these terms limits liability that cannot be limited by law.
12. General
- These terms are governed by the laws of [country]. Courts in [city, country] decide disputes.
- We may update these terms. We will tell you at least [30] days before a change that affects you takes effect.
- Contact: [legal contact email].
